Featured Comment: Former CEO & Directors Breached Fiduciary Duty, HOA Pays

The premium of D&O insurance for year 2020-2021 has increased almost 500% and the dedutible a whopping 5900% with only half of the coverage ($1million vs $2millon, see the chart below), compared to the cost of D&O insurance for year 2018-2019. The sharp premium and deductible increase is the result of the mismanagement of the HOA by the former CEO and the former Board.

Kathi, your husband, Paul Bromley, is a member of the Lake Lindero Board of Directors. When a Board member fails to perform his/her fiduciary duty, HOA members have every right to criticize his/her performance. If you can’t accept the criticism of your husband for his failure to perform his duty, you should ask him to either do his duty or resign from the Board.


What a Board member cannot do is to put the interest of a disgruntled ex-employee above that of the HOA. That was what your husband did repeatedly according to the Judge in the recent court ruling and continued to do in the very first open Board meeting he attended when he asked when the $70K owed to the ex-CEO would be paid. (Note by LLHOA members: The HOA doesn't owe the former CEO $70K.) The ex-CEO has not turned over, as ordered by the court, any of the HOA property (monies, revenues, equipments etc) in his possession. Did your husband, Paul Bromley, make any effort to aid in the recovery of any of the items? No! He demonstrated what he cares about is the ex-CEO, Barone, getting paid instead of the HOA property in Barone’s possession being turned over. That your husband’s loyalty to Barone is above that to the HOA is unacceptable to HOA members. Actually, why don’t you ask your husband if he still wants to pressure the Board into paying Barone; we bet he will say yes. If this is your husband’s position, it will not sit well with HOA members. Anytime Paul Bromley raises the issue of Barone getting paid by the HOA, he will be criticized by members. So if your husband is smart, he’d better shut his mouth and wait till the HOA gets back its property from Barone before your husband asks again.


Regarding your statement your husband worked tirelessly to help, that may be true, but he did not work tirelessly to help build the HOA, instead, he worked to help run the HOA into the ground. A few quick examples below for your consideration. 1. Your husband Paul Bromley supported Barone’s actions to bankrupt and ruin the HOA by postponing dues as of April until further notice. 2. Your husband Paul Bromley supported Barone’s frivolous lawsuits against HOA members who spoke out against Barone’s management, such as the TROs and defamation lawsuits against Ms. Cohen and Ms. Fereday. How would you feel if you criticized the Board’s performance, the HOA files TROs followed by defamation lawsuits against you? 3. Your husband Paul Bromley supported that the HOA pays Barone’s personal legal bills that are not covered by insurance. 4. Your husband Paul Bromley supported that the revenues from HOA businesses be run through Barone’s company. 5. To see the tangible damage of your husband’s actions on the HOA, take a look at the D&O insurance premium increase (see the chart below, posted by LLHOA members) due to all the lawsuits resulted from the actions by the former CEO and the former Board that your husband supported. Comparing year 2020-2021 to year 2018-2019, the coverage is half, 1 million vs. 2 million. There is an almost 500% increase on the premium, and a 5900% increase on the deductible!


Moreover, your husband Paul Bromley wants the members to move on, he claimed that what had been done to the HOA was water under the bridge. This is like an arsonist tells homeowners to move on after burning down their houses. The HOA cannot move on! The HOA is stuck with the suffocating amount of legal bills to pay in years to come, 30 and counting lawsuits to deal with, and a run-down country club to rebuild. If the HOA loses any of the pending lawsuits, the HOA members are stuck with special assessments.


So, Kathi, if you have a moral compass, ask your husband to either do his duty or resign from the Board. What your husband, Paul Bromley, has been doing violates his moral obligation to the HOA and the members. What your husband, Paul Bromley, has been doing is WRONG.
